Applicability
By placing an order or requesting a quotation, you agree to be bound by these Terms and Conditions. These terms apply to all our sales and deliveries, unless otherwise agreed in writing. Any conditions or terms stipulated by the buyer that conflict with or deviate from these Terms and Conditions are only binding if and to the extent that we have accepted them in writing.
Offers and Quotations
All offers and quotations are without obligation and are valid for 30 days from the date of issue, unless otherwise stated. Prices in quotations are based on the information provided at the time of the quotation. If circumstances change after the quotation has been issued, we reserve the right to adjust prices accordingly.
Prices and VAT
All prices are in euros (EUR) unless otherwise stated. Prices exclude VAT and other government levies unless explicitly stated otherwise. For deliveries within the European Union, VAT will be charged in accordance with applicable regulations. For deliveries outside the European Union, appropriate adjustments will be made.
Payment Terms
Payment is due according to the payment term stated in the quotation or invoice. If no specific payment term is stated, payment shall be due within 30 days of the invoice date. In case of late payment, we reserve the right to charge interest at a rate of 1.5% per month or part thereof, without prejudice to our other rights.
Orders and Order Confirmation
Orders are only binding after written confirmation from XPRO Pool Lighting B.V. The buyer is responsible for the accuracy of the order details provided. Any changes to orders must be confirmed in writing and may result in price adjustments and/or changes to delivery times.
Product Specifications
We endeavour to ensure that product specifications, descriptions, and images are accurate and complete. However, minor variations in colour, size, and finish may occur due to manufacturing processes and display settings. We reserve the right to make technical modifications to products without prior notice.
Technical Tolerances
Products are manufactured to specified tolerances. Minor deviations that do not affect the functionality or appearance of the product are acceptable and do not constitute grounds for complaint or rejection.
Custom-Made Products
XPROPOOL specializes in custom-made LED lighting solutions. Products specifically manufactured or configured according to customer specifications are considered custom-made and are non-returnable unless defective.
Made-to-Measure LED Strips and Lighting
Made-to-measure LED strips and custom lighting configurations are produced to exact specifications provided by the customer. These products are manufactured to order and cannot be cancelled or returned once production has commenced. It is the customer's responsibility to ensure all measurements and specifications are correct before ordering.
Lead Times
Stated lead times are indicative and based on normal operating conditions. Lead times commence from the date of receipt of payment and complete order information. XPRO Pool Lighting B.V. is not liable for delays caused by circumstances beyond our control, including but not limited to supplier delays, force majeure, or customs clearance.
Delivery
Delivery is ex-works (EXW) from our warehouse or production facility, unless otherwise agreed in writing. Risk of loss or damage passes to the buyer upon delivery to the carrier. We endeavour to deliver within stated lead times but cannot guarantee exact delivery dates.
Shipping Costs
Shipping costs are calculated based on the weight, dimensions, and destination of the shipment. Shipping costs will be quoted separately and added to the quotation or invoice. We work with reliable carriers to ensure safe and timely delivery.
Risk Transfer
Risk of loss or damage to the goods passes to the buyer upon delivery to the carrier, regardless of who pays the shipping costs. The buyer should arrange appropriate insurance coverage for shipments.
Inspection After Delivery
The buyer is obligated to inspect the delivered goods immediately upon receipt. Any visible damage, shortages, or non-conformities must be reported in writing within 5 working days of delivery. Failure to report within this period constitutes acceptance of the goods in their delivered condition.
Complaints
Complaints must be submitted in writing within 5 working days of discovering the defect, providing detailed description and photographic evidence where possible. We will acknowledge receipt of complaints within 3 working days and endeavour to resolve issues promptly.
Returns
Standard products may be returned within 14 days of delivery in original, undamaged condition and packaging, subject to a 25% restocking fee. Return shipping costs are the buyer's responsibility. Custom-made products, made-to-measure items, and products that have been installed or modified are not returnable.
Consumer Withdrawal Rights
For consumers (private individuals) within the European Union, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations apply. You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period will expire after 14 days from the day on which you acquire, or a third party other than the carrier and indicated by you acquires, physical possession of the goods.
Exclusion of Withdrawal Rights for Custom-Made Products
The right of withdrawal does not apply to contracts for goods that are made to the consumer's specifications or are clearly personalised, including custom-made LED strips, custom length lighting products, and specially ordered configurations. By placing an order for custom-made products, you acknowledge that the right of withdrawal is excluded.
B2B Returns
For business customers (B2B), the 14-day withdrawal right does not apply. Returns are only accepted for standard products in original, undamaged condition with a minimum order value, subject to prior written approval and a restocking fee of up to 25%.
Warranty
XPRO Pool Lighting B.V. provides warranty coverage for its products. The warranty period is the warranty period stated for the relevant product. Warranty covers manufacturing defects and failures under normal use. Warranty claims must be submitted in writing with proof of purchase and detailed description of the defect.
Warranty Exclusions
The warranty does not cover:
- Damage resulting from incorrect installation
- Damage caused by improper electrical installation or use of incompatible power supplies
- Damage from use in non-approved environments or applications
- Damage from chemical exposure, including improper chemical treatment of pool water
- Damage from mechanical impact, misuse, or neglect
- Normal wear and tear
- Damage from unauthorised modifications or repairs
- Products used with third-party controllers or power supplies not approved by XPROPOOL
Incorrect Installation
Products must be installed by a suitably qualified professional in accordance with our installation guidelines and applicable electrical codes. Improper installation, including incorrect wiring, inadequate sealing, or improper mounting, voids the warranty and may result in safety hazards.
Electrical Installation Requirements
All electrical installations must comply with applicable local electrical codes and standards. Pool lighting installations must be performed by licensed electricians with appropriate certification for swimming pool electrical work. The use of proper IP-rated junction boxes and cable glands is mandatory for underwater installations.
Use Underwater
Only products explicitly rated for underwater use may be installed underwater. Surface-mounted lights or lights designed for dry locations must not be submerged. IP ratings apply to the light fixture itself and do not account for improper installation or connections that compromise the rating.
IP Ratings
IP (Ingress Protection) ratings indicate the level of protection against solid objects and liquids. IP68 rating means the fixture is protected against long-term immersion. However, IP ratings can be compromised by improper installation, damaged cables, loose connections, or use of non-original spare parts.
Chemical Damage
Pool water chemistry must be maintained within acceptable parameters. Exposure to chemicals outside normal pool water ranges, including excessive chlorine, bromine, or other sanitising chemicals, can damage stainless steel and sealing components. Damage resulting from improper chemical balance is not covered by warranty.
Saltwater and Chlorine Environments
XPROPOOL products are manufactured from 316L marine-grade stainless steel and are designed for use in both freshwater and saltwater pools. However, in aggressive environments with very high salt or chlorine concentrations, increased maintenance may be required. Regular rinsing of the fixtures with fresh water is recommended in harsh environments.
Third-Party Controllers and Power Supplies
The use of third-party controllers, power supplies, or dimming systems that are not approved by XPRO Pool Lighting B.V. may void the warranty and may result in damage to the products. Only use controllers and power supplies that are compatible with XPROPOOL products and follow our compatibility guidelines.
Liability Limitations
XPRO Pool Lighting B.V.'s liability is limited to the invoice value of the delivered goods. We are not liable for indirect damages, consequential damages, loss of profits, or damages arising from the buyer's failure to follow installation guidelines. Our liability for personal injury or death caused by our products is limited to applicable mandatory legal requirements.
Force Majeure
XPRO Pool Lighting B.V. is not liable for delays or failures to perform resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of authorities, labour disputes, fires, floods, epidemics, pandemics, or shortages of materials or components.
Intellectual Property
All designs, specifications, photographs, and other materials provided by XPRO Pool Lighting B.V. remain our intellectual property. Reproduction or use of these materials without written permission is prohibited. The buyer acknowledges that product designs may be protected by patents, trademarks, or design rights.
Privacy
XPRO Pool Lighting B.V. processes personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR). For information about how we process personal data, please refer to our Privacy Policy.
Applicable Law
These Terms and Conditions and all agreements concluded with XPRO Pool Lighting B.V. are governed by Dutch law. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
Dispute Resolution
Any disputes arising from or in connection with these Terms and Conditions or agreements with XPRO Pool Lighting B.V. shall be submitted to the competent courts in the Netherlands, unless mandatory statutory provisions indicate otherwise. Parties shall endeavour to resolve disputes amicably before commencing legal proceedings.
